Confidential Invoice Discounting

Confidential invoice discounting is structured so customers are not ordinarily told about the facility, while the business continues to collect payments under agreed controls.

NBS Finance is a broker and introducer, not a lender. An enquiry does not guarantee an offer.

How a confidential arrangement works day to day

  1. Your business completes the work, raises invoices and supplies accurate ledger data under the reporting agreement.
  2. The provider checks eligibility and calculates availability using customer limits, reserves and existing drawings.
  3. Your team normally manages credit control. Customer receipts follow the agreed collection-account instructions, which may include a controlled or designated account.
  4. Reconcile invoices, receipts, credit notes and the funded balance. Expect contractual reporting, audits and verification checks.

Confidentiality depends on the agreement and business controls. It does not mean no audit, no customer verification or no disclosure in distress. Confirm who may contact customers, how verification is performed and which events permit disclosure or the provider taking over collections. Compare discounting, factoring versus discounting and larger facilities.

Provider assessment

Information that helps produce a useful answer

Providers set their own rates, charges, fees, security and terms. Clear evidence helps distinguish a viable route from an unsuitable application.

  • Ledger quality and audit trail
  • Collections performance and reconciliation controls
  • Concentration, disputes and contractual terms
Important: Confidentiality is not absolute: disclosure may be required under the agreement, particularly if the facility experiences problems.

NBS Finance is a broker and introducer, not a lender. NBS does not charge the client a separate broker fee. Providers set costs and terms and may carry out business or director credit checks; ask which searches will be made before a full application. An enquiry does not guarantee an offer.

Confidential-discounting questions

Must we change the account customers pay into?

The provider specifies collection-account controls and payment instructions. Confirm the account name, reconciliation and any customer communication before commencement.

Will customers never be contacted?

That cannot be promised. Audit, verification or default provisions may permit contact or disclosure; obtain the precise contractual approach.

What internal controls are assessed?

Accurate invoicing, credit control, current ledgers, reconciliations, reporting and dispute handling matter. Provider appetite and evidence requirements vary.

What costs and security apply?

Check service and discount charges, minimums, audit costs, assignment/security and any guarantees. Confidentiality does not remove these obligations.

How it differs from standard invoice discounting

Invoice discounting describes funding where your business normally retains credit control; it does not by itself promise confidentiality. A confidential facility adds an agreed approach to customer disclosure and collections. Your business must still provide accurate ledger information and meet the provider’s reporting and reconciliation requirements.

Before proceeding, ask how customers pay, which checks the provider undertakes, and when the agreement permits disclosure. Compare the fees and obligations of the proposed facility as well as its confidentiality provisions.
